These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Leapswitch Networks Pvt. Ltd. ("Leapswitch", "we", "us", or "our"), a company incorporated under the laws of India with its registered office at Office 410, Spectra Commercial, Pratik Nagar, Paud Road, Pune 411038, Maharashtra, India.

These Terms govern your access to and use of the Leapswitch website (leapswitch.com) and all services provided by Leapswitch. By accessing our website, creating an account, or purchasing any services, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Usage Policy, and our Service Level Agreement, all of which are incorporated herein by reference.

PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR WEBSITE OR SERVICES.

1. Definitions

  • "Services" means all products and services offered by Leapswitch, including but not limited to: dedicated servers, GPU servers, virtual private servers (VPS), cloud servers, shared hosting, reseller hosting, email hosting, domain registration, SSL certificates, managed services, backup services, and related infrastructure services.
  • "Client Area" means the customer management portal accessible at manage.leapswitch.com.
  • "SLA" means the Service Level Agreement published at leapswitch.com/service-level-agreement.php.
  • "AUP" means the Acceptable Usage Policy published at leapswitch.com/acceptable-usage-policy.php.
  • "Confidential Information" means any non-public information disclosed by either party, including technical data, business plans, customer data, and proprietary processes.

2. Service Description and Scope

Leapswitch provides infrastructure-as-a-service (IaaS) and hosting services from datacenters located in India (Pune, Mumbai, Delhi), the United States (Asheville, Los Angeles, Dallas), and Europe (Lisbon, Kiev, Barcelona, Frankfurt).

The specific features, configurations, specifications, and pricing for each Service are described on our website and in the order confirmation provided to you at the time of purchase. Leapswitch reserves the right to modify service offerings, features, and pricing at any time, provided that such modifications will not materially reduce the functionality of Services already purchased during their current billing period.

3. Account Registration and Security

To purchase and use our Services, you must create an account in our Client Area. You agree to:

  • Provide accurate, current, and complete information during registration and maintain the accuracy of such information.
  • Maintain the confidentiality of your account credentials and accept responsibility for all activities that occur under your account.
  • Notify Leapswitch immediately of any unauthorised access to or use of your account.
  • Not share your account credentials with unauthorised third parties.

You must be at least 18 years of age to create an account and use our Services. By creating an account, you represent and warrant that you meet this requirement.

Leapswitch reserves the right to suspend or terminate accounts that contain false or inaccurate information, or that are used in violation of these Terms.

4. Payment Terms

  • Billing Cycles: Services are billed in advance on a recurring basis according to the billing cycle selected at the time of purchase (monthly, quarterly, semi-annually, or annually).
  • Payment Methods: We accept payment via credit card, debit card, bank transfer, UPI, and other methods as made available through our Client Area.
  • Currency: Prices are quoted in the currency indicated on the relevant service page. Indian customers are billed in INR inclusive of applicable GST. International customers are billed in USD.
  • Auto-Renewal: Unless cancelled prior to the renewal date, Services will automatically renew for the same billing period. We will issue an invoice at least 7 days before the renewal date.
  • Price Changes: We may revise pricing from time to time. Price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' notice of any price increase.
  • Taxes: All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for all applicable taxes, including GST (for Indian customers) and any withholding taxes.

5. Refunds

  • Domain Name services are not refundable.
  • Payment for Web Hosting services will be refunded for unused months in case of cancellation.
  • Dedicated Servers, Self-Managed VPS, Firewalls, Backup Plans, and software licences are not refundable.
  • GPU server reservations are not refundable once provisioned.
  • Services need to be cancelled from the Client Area as stated in the Cancellations section below so that our system does not charge your payment method automatically for the next service period.
  • Accounts used for fraudulent purposes or flagged for abuse will not be refunded.
  • The 30-Day Money Back Guarantee Period is only applicable for first-time signups for shared and reseller hosting. Subsequent sign-ups are not eligible.

6. Cancellations

Cancellation requests must be submitted via our Client Area at manage.leapswitch.com.

Navigate to: My Services > Select the account to be cancelled > Click on Request Cancellation.

Cancellation requests via Support Ticket or email are not accepted. Cancellations take effect at the end of the current billing period. No pro-rata refunds will be provided for partial billing periods on non-refundable services.

7. Late Fees

Invoices overdue for more than 5 days will be charged a late fee/interest of up to 5% per month on the outstanding balance. Services associated with overdue invoices may be suspended after 7 days of non-payment and terminated after 30 days of non-payment. Data on terminated services may be permanently deleted.

8. Know Your Customer (KYC) Verification

In compliance with the Directions issued by the Indian Computer Emergency Response Team (CERT-In) under Section 70B(6) of the Information Technology Act, 2000 vide Direction No. 20(3)/2022-CERT-In dated 28th April 2022 (CERT-In Direction | Press Release), Leapswitch Networks Pvt. Ltd. is required to verify the identity of all subscribers and customers availing Data Centre, Dedicated Server, Virtual Private Server (VPS), Cloud, and related infrastructure services.

Applicability

KYC verification is mandatory for all services delivered from Leapswitch's Indian datacenter locations (Pune, Mumbai, and Delhi). International customers utilising Indian datacenter infrastructure are also required to complete KYC verification.

Verification Process

For Indian Customers: Identity verification is conducted through Digio, a certified digital KYC provider. Customers may verify their identity using:

  • Aadhaar-based verification via DigiLocker, or
  • Aadhaar document upload with a live selfie for facial match verification

For International Customers: Identity verification is conducted through Stripe Identity. Customers are required to provide a valid government-issued photo identification document along with a live selfie for facial match verification.

Information Collected

As mandated by the CERT-In Directions, Leapswitch is required to collect and maintain the following validated information for all subscribers:

  • Validated name of the subscriber/customer
  • Validated address and contact numbers
  • Email address, IP address, and timestamp at the time of registration
  • Period of hire including dates of service usage
  • IPs allotted to or being used by the subscriber
  • Purpose for availing the services
  • Ownership pattern of the subscriber/customer

Data Retention

All KYC records and subscriber information shall be maintained for a minimum period of five (5) years after the cancellation or withdrawal of the subscriber's registration, or for such longer period as may be required under applicable law.

Non-Compliance

Services delivered from Indian datacenters will not be provisioned or activated until KYC verification is satisfactorily completed. Failure to complete KYC verification within the stipulated timeframe may result in suspension of services.

9. Service Level Agreement

The availability and performance commitments for our Services are governed by our Service Level Agreement (SLA). In the event of any conflict between these Terms and the SLA, the provisions of the SLA shall prevail, but solely to the extent of the conflict.

Service Credits issued under the SLA represent your sole and exclusive remedy for any service unavailability or performance issues.

10. Data Processing

Where Leapswitch processes personal data on your behalf in the course of providing Services (i.e., data that you or your end-users store on our infrastructure), the following terms apply:

  • Roles: You are the Data Fiduciary (controller) and Leapswitch is the Data Processor with respect to customer-hosted data. For data Leapswitch collects directly (account information, billing data, KYC data), Leapswitch is the Data Fiduciary.
  • Processing Instructions: Leapswitch will process customer-hosted data only in accordance with your documented instructions and solely for the purpose of providing the Services.
  • Sub-Processors: Leapswitch may engage sub-processors as listed in our Privacy Policy. We will notify you of any changes to sub-processors that directly affect the processing of your data.
  • Security: Leapswitch will implement and maintain appropriate technical and organisational measures to protect customer-hosted data against unauthorised access, alteration, disclosure, or destruction.
  • Breach Notification: Leapswitch will notify you without undue delay upon becoming aware of a personal data breach affecting your customer-hosted data.
  • Data Return and Deletion: Upon termination of Services, Leapswitch will make your data available for retrieval for a period of 7 days, after which it may be permanently deleted. Data retained under legal obligations (e.g., CERT-In mandated subscriber data) will be retained for the legally required period.
  • Audit Rights: You may request reasonable information about our data processing activities and security measures. Any on-site audit will be conducted at your expense, during business hours, and with at least 30 days' prior written notice.

11. Acceptable Use

Your use of the Services is subject to our Acceptable Usage Policy (AUP), which is incorporated into these Terms by reference. Violation of the AUP may result in suspension or termination of Services without refund.

12. Intellectual Property

Copyright

All content on the Leapswitch website — including text, graphics, logos, images, audio, video, software, and documentation (collectively "Content") — is the property of Leapswitch Networks Pvt. Ltd. or its licensors and is protected by Indian and international copyright laws.

You may view, copy, print, and distribute Content from this website solely for personal, non-commercial, or educational purposes, provided that:

  • The Content is not modified or altered in any way without express written permission from Leapswitch.
  • Any copy includes the original copyright notice.
  • The design, layout, and visual identity of the Leapswitch website may not be copied or imitated.

Trademarks

Leapswitch, the Leapswitch logo, CloudPe, and CloudJiffy are trademarks of Leapswitch Networks Pvt. Ltd. Some trademarks are registered in certain jurisdictions. All other brand and product names are trademarks or registered trademarks of their respective owners.

You may not use any Leapswitch trademarks without express written permission. For trademark inquiries, contact us at support@leapswitch.com.

Copyright Policy

Leapswitch respects the intellectual property rights of others and expects its customers to do the same. If you believe that content hosted on our infrastructure infringes your copyright, please notify our Abuse Department at abuse@leapswitch.com with the following information:

  • A physical or electronic signature of the person authorised to act on behalf of the copyright owner.
  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the infringing material and its location on our network.
  • Your name, address, telephone number, and email address.
  • A statement of good-faith belief that the use is not authorised by the copyright owner, its agent, or the law.
  • A statement that the information in your notice is accurate, made under penalty of perjury, and that you are authorised to act on behalf of the copyright owner.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
  • LEAPSWITCH'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO LEAPSWITCH DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  • IN NO EVENT SHALL LEAPSWITCH OR ANY OF ITS AFFILIATES, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICES.

Nothing in these Terms shall limit or exclude liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited or excluded under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Leapswitch, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Services in violation of these Terms or the AUP.
  • Any content you host, transmit, or store on Leapswitch infrastructure.
  • Your violation of any applicable law, regulation, or third-party rights.
  • Any claim by a third party arising from the actions or omissions of your end-users.

15. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay arises from causes beyond the party's reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, government actions or orders, sanctions, embargoes, labour disputes, power failures, internet or telecommunications failures, cyberattacks (including DDoS attacks), fire, flood, earthquake, or other similar events ("Force Majeure Event").

The affected party shall promptly notify the other party of the Force Majeure Event and use reasonable efforts to mitigate its effects. If a Force Majeure Event continues for more than 60 consecutive days, either party may terminate the affected Services upon written notice.

16. Termination

Termination by Customer

You may terminate your Services at any time by submitting a cancellation request through the Client Area as described in Section 6 above.

Termination by Leapswitch

Leapswitch may suspend or terminate your Services immediately, with or without notice, in the following circumstances:

  • Violation of these Terms, the AUP, or any applicable law.
  • Non-payment of fees for more than 30 days.
  • Providing false or misleading account or KYC information.
  • Activity that threatens the security, integrity, or performance of our network or other customers' services.
  • Receipt of a valid court order or government directive requiring termination.

Effect of Termination

Upon termination:

  • All outstanding fees become immediately due and payable.
  • Your data will be available for retrieval for 7 days following termination, after which it may be permanently deleted.
  • IP addresses allocated to your account will be reclaimed by Leapswitch.
  • Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, Governing Law, and Data Retention obligations) shall survive.

17. IP Address and Resource Allocation

  • All IP addresses allocated to you remain the property of Leapswitch (or the relevant Regional Internet Registry — APNIC, ARIN, or RIPE NCC) and are licensed to you solely for use with Leapswitch Services.
  • IP addresses are not transferable and must be returned upon termination of Services.
  • You are responsible for maintaining accurate WHOIS and rDNS (reverse DNS) records for IP addresses allocated to your account.
  • Leapswitch reserves the right to reclaim unused IP addresses or reassign addresses if required by the relevant Regional Internet Registry.

18. GPU and AI Services

The following additional terms apply to GPU server and AI infrastructure services:

  • Fair Use: GPU resources are allocated as specified in your service configuration. You may not exceed the allocated GPU memory, compute, or storage resources without upgrading your service plan.
  • Workload Compliance: You are solely responsible for ensuring that AI/ML workloads run on our infrastructure comply with all applicable laws and regulations, including data protection laws, export controls, and intellectual property rights.
  • Export Controls: Certain GPU hardware and AI capabilities may be subject to export control regulations. You represent and warrant that your use of GPU services complies with all applicable export control laws, including those of India and the United States.
  • No Cryptocurrency Mining: Use of GPU servers for cryptocurrency mining is prohibited unless expressly authorised in writing by Leapswitch. See our AUP for details.
  • Model and Data Responsibility: You retain ownership of and responsibility for all models trained, data processed, and outputs generated using our GPU infrastructure.

19. CERT-In Compliance

As a datacenter and infrastructure service provider, Leapswitch is subject to the Directions issued by CERT-In under Section 70B(6) of the Information Technology Act, 2000. In addition to the KYC requirements described in Section 8, the following obligations apply:

  • Incident Reporting: Leapswitch is required to report cyber security incidents to CERT-In within 6 hours of becoming aware of such incidents. You are required to cooperate with Leapswitch in investigating and reporting incidents that affect your services.
  • Log Maintenance: Leapswitch maintains ICT system logs for a rolling period of 180 days within India, as mandated by CERT-In Directions. You are required to maintain logs of your own systems and applications hosted on our infrastructure.
  • Clock Synchronisation: All Leapswitch infrastructure systems are synchronised to the Network Time Protocol (NTP) Server of the National Informatics Centre (NIC) or the National Physical Laboratory (NPL).
  • Cooperation with Authorities: Leapswitch may be required to provide information about your services and activities to CERT-In or law enforcement agencies pursuant to lawful orders. We will notify you of such requests where legally permitted.

20. Links to Third-Party Sites

The Leapswitch website may contain links to third-party websites, which are not under the control of Leapswitch. These links are provided as a convenience only and do not constitute endorsements or referrals. Leapswitch does not accept any responsibility for the content, privacy practices, or availability of linked third-party websites.

21. Dispute Resolution

Informal Resolution

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation for a period of at least 30 days from the date of written notice of the dispute.

Arbitration

If informal resolution is unsuccessful, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat of arbitration shall be Pune, Maharashtra, India. The language of the arbitration shall be English.

Jurisdiction

Subject to the arbitration clause above, the courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

22. Governing Law

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. For customers using Services from our US or European datacenter locations, applicable local data protection and consumer protection laws of those jurisdictions shall additionally apply to the extent mandated by law.

23. Modifications to These Terms

Leapswitch reserves the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of this page.
  • For material changes, we will provide at least 30 days' prior notice via email to registered customers.
  • Continued use of our Services after the effective date of modifications constitutes acceptance of the revised Terms.
  • If you do not agree to the revised Terms, you may terminate your Services before the changes take effect.

24. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, AUP, and SLA, constitute the entire agreement between you and Leapswitch regarding the subject matter hereof and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it at a later time.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Leapswitch. Leapswitch may assign its rights and obligations in connection with a merger, acquisition, or sale of assets.
  • Notices: All notices under these Terms shall be in writing and sent to the email address associated with your account (for notices to you) or to legal@leapswitch.com (for notices to Leapswitch).
